Governing Law: India | Jurisdiction: Assam

1. NATURE OF SERVICE

FlashTerminal (“Company”, “Platform”, “We”) is a technology-only unified trading interface that connects to third-party broker platforms via official APIs.

FlashTerminal:

  • Is not a stockbroker
  • Is not an exchange
  • Is not an investment advisor
  • Does not manage funds
  • Does not guarantee execution, profit, or performance

All trading activity is executed solely by third-party brokers.

2. USER ELIGIBILITY & REPRESENTATIONS

By using FlashTerminal, you represent and warrant that:

a) You are at least 18 years of age b) You are legally permitted to trade under Indian law c) You hold valid accounts with supported brokers d) You understand trading risks e) All information provided by you is true and accurate

Providing false information may result in immediate termination.

3. ACCOUNT SECURITY & RESPONSIBILITY

3.1 You are solely responsible for safeguarding your login credentials. 3.2 All actions performed using your account are deemed to be performed by you. 3.3 FlashTerminal shall not be liable for unauthorized access caused by user negligence.

4. AUTHORIZATION TO ACCESS BROKER APIs

4.1 You explicitly authorize FlashTerminal to access your broker account via APIs strictly for platform functionality. 4.2 FlashTerminal does not store broker passwords. 4.3 API permissions are limited by broker controls and subject to their policies.

5. API DEPENDENCY & THIRD-PARTY RISK DISCLAIMER

5.1 FlashTerminal’s performance is dependent on:

  • Broker API uptime
  • Exchange systems
  • Internet connectivity
  • Regulatory permissions

5.2 FlashTerminal shall not be responsible for:

  • API failures
  • Order rejection
  • Slippage
  • Execution delay
  • Broker downtime
  • Exchange halts
  • Regulatory suspensions

6. TRADING RISK ACKNOWLEDGEMENT

6.1 Trading involves substantial financial risk. 6.2 Losses may exceed capital in leveraged products. 6.3 FlashTerminal does not provide:

  • Trading tips
  • Investment advice
  • Portfolio management
  • Profit assurance

All decisions are taken at the user’s sole discretion.

7. SUBSCRIPTIONS, BILLING & PAYMENTS

7.1 Access to FlashTerminal may require a paid subscription. 7.2 Fees are non-transferable and subject to change. 7.3 Failure to renew may restrict access. 7.4 Payments are processed via third-party gateways.

8. REFUNDS & CANCELLATION

8.1 All subscription fees are non-refundable, unless explicitly stated. 8.2 No refunds shall be issued for:

  • Partial usage
  • User error
  • API downtime
  • Market losses
  • Broker issues

Refunds, if any, are solely at Company discretion.

9. PROHIBITED USE

Users shall not:

  • Engage in illegal trading
  • Attempt system manipulation
  • Reverse engineer the platform
  • Abuse APIs
  • Use bots unless permitted
  • Misrepresent FlashTerminal

Violation may lead to permanent termination.

10. INTELLECTUAL PROPERTY

All platform IP belongs exclusively to FlashTerminal. No license is granted beyond personal use.

11. DATA, PRIVACY & SECURITY

User data is handled per the Privacy Policy. FlashTerminal does not sell personal data. Security practices are industry standard but not infallible.

12. FORCE MAJEURE

FlashTerminal shall not be liable for failure or delay caused by events beyond reasonable control, including but not limited to:

  • Natural disasters
  • Government actions
  • Regulatory changes
  • Exchange outages
  • Broker shutdowns
  • Internet failures
  • Cyberattacks

13. INDEMNIFICATION (IMPORTANT)

You agree to indemnify and hold harmless FlashTerminal, its directors, employees, and partners from any claims, losses, liabilities, damages, or legal expenses arising from:

  • Your trading activities
  • Violation of these Terms
  • Regulatory breaches
  • Misuse of the platform

14. DISCLAIMER OF WARRANTIES

The platform is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • FlashTerminal shall not be liable for indirect or consequential damages
  • Total liability shall not exceed fees paid in the last 3 months

16. TERMINATION

FlashTerminal may suspend or terminate access:

  • Without notice for violations
  • For regulatory reasons
  • For security concerns

Upon termination, access ceases immediately.

17. MODIFICATION OF TERMS

FlashTerminal may modify these Terms at any time. Continued use constitutes acceptance.

18. GOVERNING LAW & JURISDICTION

These Terms are governed by Indian law. Courts of Assam shall have exclusive jurisdiction.

19. CLASS ACTION WAIVER

Users agree that disputes shall be brought individually and not as part of a class or collective action, to the extent permitted by Indian law.

20. ENTIRE AGREEMENT

These Terms, along with Privacy Policy, Refund Policy, and Disclaimer, constitute the entire agreement between the user and FlashTerminal.

21. ACCEPTANCE

By clicking “I Agree” or using FlashTerminal, you confirm full acceptance of these Terms.
